Minutes of the Organizational Meeting of the
Hidden Harbor Board of Directors
On February 27, 2014, in the onsite clubhouse @ 6pm


Call to Order:  
Bill Allen called the meeting to order at 6:00 p.m. 

Establishment of Quorum:
Board members present were Bill Allen-President, Mary Dillon-Vice President, Sam Bovalino-Treasurer/Secretary and Directors Bob Philbrook, Ken Lewis, Butch VanGraafeiland, Frank Carotenuto and Richard Marquis.   Kathy Watts represented Dragon Property Management.  

Approval of Minutes from January 22, 2014 Organizational Meeting:
Sam Bovalino made a motion to approve the January 22, 2014 Organizational Meeting minutes.   Mary Dillon seconded the motion and the motion passed by unanimous voice vote.

Approval of Minutes from January 26, 2012 Annual Meeting:
Sam Bovalino made a motion to approve the January 26, 2012 Annual Meeting minutes.  Bob Philbrook seconded the motion and the motion passed by unanimous voice vote.

Financial Report:
Sam reported that as of January 31, 2014 the Association has $8,324.87 in the Operating account and $284,401.52 in Reserves.  The Association is in good shape and all bills are paid.  Frank Carotenuto made a motion to approve the Financials. Bob Philbrook seconded the motion and it passed by unanimous voice vote.  

New Business:
Panel Doors:  Todd Palmer from HPW Windows & Doors in Melbourne gave a presentation on replacement doors for the units.  A six panel “textured” fiberglass doors would cost approximately $684 per door, installed.  A six panel “smooth” fiberglass doors would cost approximately $553 per door, installed.  This does not include the cost of painting or staining the doors which ranges from $125-$150 for painting and $250 for staining.  Both doors include a lifetime guarantee for material and labor.  The doors would arrive approximately 2 – 3 weeks after they’re ordered and a City of Cape Canaveral permit would need to be pulled for the installation.  For any unit that has a storm door, it will be removed but it will be the owner’s responsibility to have it reinstalled.  A question was asked if other companies were contacted for bids and Butch reported that several vendors were contacted and HPW appeared to the most knowledgeable. 

-Butch VanGraafeiland made a motion to proceed with the purchase and installation of 8 doors for Building 5 with the funds for the project coming from Reserve-Deferred Maintenance.  Mary Dillon seconded the motion and the motion passed by unanimous voice vote.
-Butch VanGraafeiland made a motion for the doors to be textures and have the doors stained a darker color after installation.  Mary Dillon seconded the motion and the motion passed by unanimous voice vote.
 

AC Drain Clean Out:  The AC drain project has been completed.
Update on Revised Documents:  The draft on the revision condominium documents has been reviewed by the Board and Kathy has requested a motion for authorization to send the draft to attorney Paul Wean for review before it’s mailed to the owners for an approval vote.  Butch VanGraafeiland made a motion to approve the request. Frank Carotenuto seconded the motion.  The motion did not pass and it was tabled until the next meeting.   

Unfinished Business:
Masonry Repairs:  Kathy presented a bid from Mike’s Masonry for repairs to balconies and beams for a total of $15,125.  Sam Bovalino made a motion to approve the repairs with the funds coming from the Deferred Maintenance Reserve line item.  Butch VanGraafeiland seconded the motion and it passed by unanimous voice vote.  

Recreation Room Renovations:  This project is tables for a later time.
Landscaping:  The landscaping company will be getting us a price on specific areas and suggestions on what needs to be planted.

Announcements:

Next Board Meeting:  The next scheduled Board meeting will be Thursday, March 27, 2014 at 6:00 p.m.

Adjournment:
With no further business to discuss, Sam Bovalino made a motion to adjourn the meeting at 7:20 p.m.  Frank Carotenuto seconded the motion and it passed by unanimous voice vote.
